第二节　合同的效力条款

合同的效力条款主要由两部分组成：一是合同使用的文字，合同的份数，各种文本的效力；二是合同的生效时间，对合同修改补充的效力，合同附件效力（如果有），还应在合同中规定“附件是合同不可分割的一部分”，否则，就不具备构成合同附件的条件。

例：The agreement is an integral part of Contract No...for machinery and Contract No...for feathers.Both parties shall carry out the terms and conditions agreed upon,and neither party shall terminate this Agreement and the attached Contracts until all stipulations contained therein have been carried out.

译文：本协议是第×××号机器合同和第×××号羽绒合同不可分割的组成部分。双方应该执行所达成的全部条款。在全部条款执行完毕前，任何一方不得终止本协议和所附的合同。

例：The Appendices attached hereto are hereby made an integral part of this Contract and are equally binding on both parties.

译文：本合同所有附件为本合同不可分割的组成部分，对双方具有同等约束力。

例：This Contract is made out in both the Chinese and English languages,each in two originals and one original of each is held by Party A and Party B.In case of any discrepancies between the Chinese and English copy,the English copy shall govern.

译文：本合同用中英文两种文字写成，每种有正本两份，由各方各持一份。如中文版本与英文版本有异议时，以英文版本为准。

合同的生效日期在合同中起着重要的作用。合同协议有时文本不是惟一的，有的是在原件的基础上进行修改。合同中约定合同双方享有的权利和承担的义务都是以合同的生效期作为计算基准日。

例：This Contract comes into effect on the first day of the engaged party’s arrival at the AA University and ceases to be effective at its expiration.If either party wishes to renew the Contract,the other party shall be notified in writing one month before it expires.Upon agreement by both parties through consultation,a new contract may be signed between the two parties.

译文：本合同自受聘方到校之日起生效，到聘期届满时失效。如果一方要求延长聘期，必须在合同期满前一个月以书面形式向对方提出，经双方协商同意后另签延聘合同。

例：The Contract shall become effective as soon as it is signed by the two Parties.The validity of this Contract is for three years(from January 1,2010 to December 31,2012).This Contract is renewable for a further period of two years upon mutual consent after consultation between the two Parties.

译文：本合同经双方签署后立即生效，其有效期为三年，自2010年1月1日至2012年12月31日止。本合同经双方协商同意时可以顺延两年。

例：This Contract,when duly signed by the parities concerned,shall remain in force for two years to be effective as from February 1st,2009 to January 31st,2011.If no written objection is raised by either party one month before its expiry,this Contract will be automatically extended for another year.Should one of the parties fail to comply with the terms and conditions of this Contract,the other party should be entitled to terminate this contract.

译文：本合同经双方签署后立即生效，有效期两年，自2009年2月1日至2011年1月31日止。期满前一个月，如果双方均没有提出书面异议，本协议将自动延长一年。如一方未按本条款执行，另一方有权终止本协议。

如果合同中并未约定生效日期，双方签约日期（后一方的签约日期）一般作为合同的生效日期。但有时签约方并不希望合同立即生效，这就尤其有必要在合同中约定生效的日期。

合同生效除了以具体的日期表述外，还可以约定以某个事件的发生或者不发生为生效起点，相当于附加条件，只有在附加条件成立时合同才生效。

例：Effective Date means the date on which the contract,after it is signed,be approved by the Ministry of Commerce of the People’s Republic of China.

译文：生效日是中华人民共和国商务部批准之日。

例：This Contract shall come into force after it has been approved by the examination and approval authority of China.

译文：本合同经中国当局审批后生效。
