LICENSED REPRINT AGREEMENT

AGREEMENT DATED    BETWEEN

(1)OXFORD PUBLISHING LIMITED of Great Clarendon Street Oxford OX2 6DP(“OPL”);and

(2)FOREIGN LANGU AGE TEACHING AND RESE ARCH PRE SS of 29 Xisanhuan Beilu,Beijing 100010,P.R.China(“the Buyer”);and

(3)ANDREW NURNBERG ASSOCI ATES INTERNA TIONAL L TD.of 45-47 Clerkenwell Green,London EC1R 0QX,UK(“the Agent”)

WHEREAS

A.The Buyer wishes to publish an English language licensed reprint of the following work:

B. OPL has the right to license all necessary rights in and to such work and has agreed to grant the Buyer the right to publish the proposed licensed reprint on the terms and conditions of this Agreement.

C.The Agent wishes to act as OPL’s agent in connection with certain aspects of this Agreement and is a party to this Agreement only for the purposes of clause 2 of Schedule I.

NOW IT IS HEREBY AGREED AS FOLLOWS:

OPL and the Buyer hereby accept and agree to the terms and conditions of this Agreement,which incorporates the following attached Schedules:

SCHEDULE I:SPECIFIC TERMS AND PAYMENT INSTRUCTIONS

1 DEFINITIONS

In this Agreement the following words shall have the following meanings:

2 PAYMENT AND PAYMENT INSTRUCTIONS

2.1 The Buyer shall pay OPL the Advance on receipt of the fully executed copy of this Agreement.

2.2 The Advance is an advance on account of all royalties that may become due to OPL under this Agreement and is non-returnable.

2.3 The Buyer shall pay to OPL the following royalties calculated on the Buyer’s catalogue retail price on all copies of the Licensed Reprint sold by the Buyer:

8%(eight per cent)on the first 5 000(five thousand)copies;rising to

10%(ten per cent)on sales of 5 001(five thousand and one)copies or more

2.4 The Buyer shall make up accounts of sales of the Licensed Reprint annually at the thirty-first day of December each year and the said accounts shall be delivered to OPL within 2(two)months thereafter.The Buyer shall at the time of delivery of the said statements of accounts of sales pay all sums shown to be due in the same currency as the Advance.

Should the Buyer be required by law to deduct withholding tax the Buyer shall send declarations to this effect with the said statements of account showing the amounts deducted.

The said statements of account shall include the following information:

(i)UK ISBN(s)and title(s)of Work;

(ii)the Buyer’s ISBN(s)and title(s);

(iii)the number of copies in stock,if any,at the start of the accounting period;

(iv)the number of copies,if any,printed during the accounting period;

(v)the number of copies sold during the accounting period;

(vi)the number of copies remaining in stock at the end of the accounting period;

(vii)the royalty rate payable on the copies sold;

(viii)any sums deducted for taxation or agent’s commission;

(ix)the total sum due for the accounting period.

2.5 Payment of all sums due to OPL under this Agreement shall be paid directly to the Agent unless and until notified to the contrary by OPL pursuant to clause 2.7 below.OPL confirms that the Agent has acted as its agent or representative in the negotiation of this Agreement and that OPL authorises the Agent to collect,receive and give a valid receipt to the Buyer for all sums due to OPL under this Agreement.

2.6 The Agent shall remit sums due from Buyer hereunder to OPL within 30 days of receipt from the Buyer as follows,after deduction of Agent’s commission of 10%(ten per cent)on sums received:

All payments in US dollars $ shall be made directly to OPL c/o The Royalties Department,Oxford University Press,Great Clarendon Street,Oxford OX2 6DP or to OPL’s account at Barclays Bank plc,PO Box 333,Oxford OX1 3HS Account Number 49729622 Sort Code 20-65-18,BIC:BARCGB22,IBAN:GB29 BARC 2065 1849 7296 22,or to such address and account as may be notified to the Buyer by OPL quoting the title of the Work in English.

2.7 If the Agent commits a material breach of clause 2.6 above or,in the case of any such breach capable of remedy,fails to remedy or repeats such breach after receiving written notice from OPL to remedy it within a period of at least 30 days,then OPL may terminate the Agent’s appointment hereunder immediately on written notice to the Agent and the Buyer and the Buyer shall thereafter make payment of all sums due hereunder directly to OPL.

2.8 Complimentary copies of the Licensed Reprint due to the Agent pursuant to Schedule II clause 5.4 shall be sent to the Agent at the following address:

SCHEDULE II:STANDARD TERMS AND CONDITIONS

1 RIGHTS GRANTED

1.1 In consideration of the payments hereinafter mentioned and subject to the terms and conditions following OPL grants to the Buyer the exclusive right and licence to publish the Maximum Number of Copies of the Licensed Reprint in the Agreed Form and to sell copies via the Permitted Sales Channels throughout the Territory during the Term.

1.2 Any further printing beyond the Maximum Number of Copies shall require a separate agreement.

1.3 OPL hereby declares that it is entitled to grant the rights granted in this Agreement and will indemnify the Buyer in respect of any action which may be taken against the Buyer on the ground that it has purchased rights from a party which was not entitled to dispose of them.

1.4 The rights granted in this Agreement are only for the first edition of the Work,unless otherwise specified.

1.5 All rights in the Work whether now existing or which may hereafter come into existence which are not specifically granted to the Buyer in this Agreement are reserved by OPL.

2 THE BUYER’S RESPONSIBILITY TO PUBLISH

2.1 The Buyer shall publish the Licensed Reprint at its own expense.

2.2 The Buyer shall publish the Licensed Reprint no later than the Publication Date and if it fails to publish within the time stipulated or as otherwise agreed by OPL in writing the rights herein conveyed shall revert to OPL and the Advance shall be forfeited.

2.3 The Buyer shall produce a verbatim reprint of the Work in the English language and shall not in the Licensed Reprint alter,expand,or abridge the Work(including illustrations where applicable)in any way without the prior written consent of OPL.

2.4 If requested in writing by OPL,the Buyer shall submit to OPL in typescript a specimen chapter of the Licensed Reprint or the Licensed Reprint in full for OPL’s approval.The Buyer shall not proceed with the printing of the Licensed Reprint until it has received such approval in writing.

2.5 The Buyer shall not without the prior written consent of OPL issue the Licensed Reprint under any imprint other than the Buyer’s imprint.

2.6 Except as specified in clause 4 the Buyer shall not use the words“Oxford”,or“Oxford University P ress”or any device,trademark or logo of Oxford University Press or Oxford University in the title or elsewhere in the Licensed Reprint or in any associated publicity material without the prior written consent of OPL/OUP.Permission to use the word“Oxford”in the title of the Licensed Reprint will only be given if a separate trade mark licence has been granted,which shall be at the sole discretion of OPL/OUP,and a separate charge agreed.

2.7 The Buyer may not include advertising for any other product(apart from other books published by the Buyer)in the title on the jacket or elsewhere in the Licensed Reprint or in any associated publicity material without the prior written consent of OPL.

3 PERMISSIONS

3.1 If the Work includes material such as extracts,papers,or illustrations reproduced from other publications or sources and where it is indicated in an acknowledgements list or in any other manner in the Work that permission to use or include such material is required then the Buyer undertakes to obtain permission from the copyright Owner to cover the use of such material in the Licensed Reprint and to pay the copyright Owner any necessary reproduction fees.

4 COPYRIGHT NOTICE AND ACKNOWLEDGEMENT

4.1 The Buyer undertakes that the name of the Author,Editor,and Illustrator(if named in Schedule I)shall appear in its customary form with due prominence on the title page and on the binding and jacket or cover of every copy of the Licensed Reprint published or licensed for publication by them.

4.2 Additionally the Buyer shall place on the reverse of the title page the Acknowledgement(in English and the Language)and the Copyright Notice.

5 PRODUCTION AND PUBLICATION

5.1 Prior to publication the Buyer undertakes to confirm in writing to OPL the print number and published price of each printing of the Licensed Reprint.

5.2 The right to reproduce the artwork,typography or design of the Work is not included in this Agreement unless expressly agreed in Schedule I.

5.3 The Buyer agrees if requested by OPL to do so to include in the Licensed Reprint before its publication any corrections,new text and/or illustrations relevant to the subject matter of the Work.OPL undertakes to inform the Buyer at any early stage of any such corrections,new text and/or illustrations.

5.4 The Buyer shall send to OPL on publication 6(six)complimentary copies of the first printing of the Licensed Reprint issued or sub-licensed by the Buyer.OPL shall have the right to purchase at normal trade terms further copies for personal use but not for resale.

6 PAYMENT AND ACCOUNTS OF SALES

6.1 The Buyer shall make payment of the Advance within 30 days of receipt by the Buyer of a valid invoice from OPL in respect thereof.

6.2 OPL reserves the right to charge 2%(two per cent)interest each month or any part thereof on any overdue payments without prejudice to any other measures that OPL may employ to recover any and all monies due.

6.3 Should the Buyer be required by law to deduct withholding tax the Buyer shall ensure that an appropriate claim for double taxation exemption is filed before payment.If there is no double taxation treaty between the Buyer’s territory and the United Kingdom the Buyer shall issue a certificate of withholding tax deducted with each payment.The Buyer shall not be entitled to make any other deductions from the amount due to OPL.

6.4 OPL or its authorised representative shall have the right upon written request to examine the records of account of the Buyer in so far as they relate to the printing sales and receipts in respect of the Licensed Reprint,which examination shall be at the cost of OPL unless errors exceeding 5%(five per cent)of such printing sales and receipts to their disadvantage shall be found,in which case the cost shall be paid by the Buyer.

7 REMAINDERS/DISPOSAL OF SURPLUS STOCK

7.1 If,after a period of 2(two)years from the date of first publication of the Licensed Reprint hereunder,the Licensed Reprint shall in the opinion of the Buyer have ceased to have a remunerative sale,the Buyer shall,on giving notice in writing to OPL,such notice to include an offer to sell copies to OPL at a price to be agreed,be at liberty to dispose of any copies remaining on hand as a remainder or overstock.

8 REVERSION OF RIGHTS

8.1 The Buyer shall inform OPL immediately the Licensed Reprint or any edition of the Licensed Reprint licensed by the Buyer goes out of print.

8.2 In the event of the Licensed Reprint going out of print and remaining unavailable in any edition published or licensed by the Buyer,OPL shall be at liberty to give the Buyer 6(six)months’notice in writing to reprint the Licensed Reprint.On the expiration of the said period of 6(six)months should such a reprint not have been made all rights granted under this Agreement shall forthwith without further notice revert to OPL without prejudice to any monies paid or due to OPL.

8.3 For the purpose of this Agreement out of print shall mean the Buyer has fewer than 100(one hundred)copies in stock and/or does not include the Licensed Reprint in its current catalogue.

9 TERMINATION OF AGREEMENT

9.1 Without prejudice to any right or remedy OPL may have against the Buyer for breach or non-performance of this Agreement,OPL shall have the right to terminate this Agreement by notice in writing to the Buyer with immediate effect if:

9.1.1 the Buyer does not pay OPL any payment due hereunder within 30(thirty)days of the due date for such payment;or

9.1.2 the Buyer commits a material breach of any other term of this Agreement or,in the case of any such breach capable of remedy,fails to remedy or repeats such breach after receiving written notice from OPL to remedy it within a period of at least 30 days;or

9.1.3 an order is made or resolution passed for the winding-up or bankruptcy of the Buyer,any distress or execution is levied on any of its property or effects,a receiver is appointed over any of its assets,the Buyer compounds or makes any voluntary arrangement with its creditors or any class thereof,or the Buyer is dissolved or otherwise ceases to exist,or such dissolution or ceasing to exist is imminent,or the Buyer ceases its usual business operations;or

9.1.4 there is a change of control of the Buyer.

9.2 On termination of this Agreement for whatever reason,all rights granted to the Buyer shall revert to OPL forthwith,without prejudice to any rights of the Buyer in respect of any contracts properly entered into by the Buyer with any third party prior to the date of termination,without prejudice to any claim OPL may have for damages or otherwise and without prejudice to any liabilities or obligations of the Buyer accruing up to the date of termination.

10 NOTICES

10.1 All notices required to be given under this Agreement shall be given in writing in English and left at or sent by first class registered or recorded delivery to the appropriate address shown at the head of this Agreement,or such other address as the party concerned shall from time to time designate by notice pursuant to this Clause.Such notices shall be deemed to be delivered(i)when left at the addressee’s address;or(ii)if posted,48(forty-eight)hours after posting.All notices to OPL shall be marked for the attention of the Group Legal Director.All notices to the Buyer shall be marked for the attention of the Buyer’s Representative.

11 GENERAL

11.1 This Agreement is subject to English Law and the parties submit to the non-exclusive jurisdiction of the English courts.

11.2 The Buyer shall not be entitled to assign or sub-contract all or part of this Agreement without the prior written consent of OPL.

11.3 Headings in this Agreement are for convenience only and shall not affect its interpretation.

11.4 This Agreement sets forth the entire agreement between the parties regarding the subject matter hereof and supersedes and revokes all prior discussions,arrangements and agreements written or oral relating thereto.

11.5 This Agreement shall not be amended,varied or supplemented except in writing signed by the parties or their duly authorised representatives.

11.6 No failure or delay on the part of either party to exercise any right or remedy under this Agreement or any single or partial exercise of such right or remedy shall be construed as a waiver thereof.

11.7 Neither party shall be liable to the other for non-performance in the event of circumstances occurring outside its reasonable control.

11.8 No provision in this Agreement is intended to be enforceable by a person who is not a party to this Agreement.

授权重印图书协议

下列三方:

(1)牛津出版有限公司,合法地址为:牛津,大克拉伦登街,邮区编码OX2 6DP(“OPL”);及

(2)外语教学与研究出版社,合法地址为:中华人民共和国,北京,西三环北路29号,邮政编码100000(“买方”);及

(3)安德鲁·纳伯格联合国际有限公司,合法地址为:大不列颠及北爱尔兰联合王国,伦敦,克拉肯维尔格林45-47,邮区编码EC1R 0QX(“代理方”)于×××(日期)就下列事项:

A.买方愿意出版下述作品的英文授权重印图书:********

B.牛津出版有限公司拥有这些作品一切必要的权利,并同意买方依照本协议条款出版这些授权重印的图书。

C.代理方愿意就本协议某些方面作为OPL的代理人,并仅作为本协议附件Ⅰ第2条的一方。

达成如下协议:

1.定义

本协议中,下列词语应为如下含义:

2.付款及付款须知

2.1 收到本协议签署生效的副本后,买方应立即向OPL支付预付款。

2.2 预付款应根据本协议向OPL支付的版税支付,并且预付款不可返还。

2.3 版税应以买方商品目录零售价格售出的所有授权重印图书计算,买方应向OPL支付下列版税:

(i)头5 000(伍仟)册的 8%(百分之捌);继而增加至

(ii)第5 001(伍仟零壹)册以及其后售出图书销售额的10%(百分之拾)

2.4 买方应于每年十二月三十一日结算授权重印图书年度销售账目,该账目应自结算之日起两个月内递交OPL。递交上述销售账目报表之时,买方应以与预付款相同的货币支付所有应付款额。

若买方按法律规定扣除预扣税款,买方应将扣除税款申报表以及显示扣除数额的销售账目报表一并送交OPL。

账目报表应包含下列信息:

(i)作品的大不列颠及北爱尔兰联合王国国际标准图书编号及标题;

(ii)买方国际标准图书编号及标题;

(iii)在本会计年度初期若有库存,其具体册数;

(iv)本会计年度内印刷的册数;

(v)本会计年度内销售的册数;

(vi)本会计年度末库存册数;

(vii)售出图书应付版税率;

(viii)因征税或代理方佣金而扣除的款额;

(ix)本会计年度内应支付总款额。

2.5 除OPL依下述第2.7条通告买方,本协议下应向OPL支付的所有款额应直接支付给代理方。OPL确认代理方在本协议的商谈过程中作为其代理或代表,并且,OPL授权代理方收集、接收以及给与买方本协议下所有应向OPL支付款额的收据。

2.6 收到买方应向OPL支付的款额后30天内,代理方扣除该款额的10%(百分之拾)作为佣金,所余款额代理方以如下形式向OPL汇付:所有付款应以美元($)直接汇付至伦敦OX2 6DP 大克拉伦登街牛津大学出版社OPL公司版税部;或汇付至OPL在牛津OX1 3HS,PO Box 333巴克莱银行的账户,账户号为49729622,银行代码20-65-18,银行识别码:BARCGB22,国际银行账户号码:GB29 BARC 2065 1849 7296 22;或汇至通过OPL引用英语作品名称可能通告买方的此类地址和账户。

2.7 若代理方对上述第2.6条有重大违约,或在违约可以得到补救的情况下,收到OPL要求其在至少30天内进行补救的书面通知后,仍未进行有效补救或者再次违约,此时,OPL可以向代理方及买方发出书面通知,立即终止代理方约定;并且,买方接到上述书面通知后应直接向OPL支付所有应付款额。

2.8 依附列资料Ⅱ第5.4条,授权重印的图书样本应免费送至代理方的下述地址:中华人民共和国北京海淀区中关村大街甲59号文化大厦1705室安德鲁·纳伯格国际联合有限公司北京代表处,邮政编码:100872。

附列资料Ⅱ:标准条款

1 授予的权利

1.1 以下文提到的付款为报酬,在下述条款,OPL授予买方独家权利及许可,在期限内,以协定形式出版授权重印图书最大印数,并在地区内通过经许可的销售渠道出售图书。

1.2 若超过最大印数后继续加印,需另立协议。

1.3 牛津出版社兹声明,本出版社有权授予本协议所授予的版权。如本出版社从无权行使版权的一方购得版权,对于由此而可能实施的不利于买方的任何行为,本出版社将予以赔偿。

1.4 本协议中所授权利,若无其他说明,仅适用于第一版作品。

1.5 作品现有一切权利以及将来或有的一切权利,若在本协议中无具体指明授予买方,则上述权利由OPL保留。

2 买方的出版责任

2.1 买方应自费出版授权重印图书。

2.2 买方应在出版日期或该日期之前出版授权重印图书;如未能按规定时间或OPL书面同意的另外时间出版,买方出版的权利应由OPL收回,同时,预付金应被罚没。

2.3 买方应以英文逐词重印作品;在无OPL事先书面同意时,买方不应在授权重印图书中对作品(包括作品中使用的插图)进行任何改动、增加或删节。

2.4 若OPL提出书面要求,买方应以打印文字形式向OPL提交授权重印图书样本章节或授权重印图书全文供OPL核准。买方在收到OPL书面批准前,不应继续印刷授权重印图书。

2.5 若无OPL书面同意,买方不应以买方版本说明之外的任何版本说明发行授权重印图书。

2.6 除第4条中列举的情况外,在无OPL/OUP(牛津出版有限公司/牛津大学出版社)事先书面同意的情况下,在授权重印图书的标题或任何其它位置以及任何相关宣传资料中,买方不应使用“Oxford”(牛津)或“Oxford University Press”(牛津大学出版社)字样,不应使用任何牛津大学出版社或牛津大学的徽标、商标或标识。由OPL自行决定并商订单独费用后,单独的商标许可可被授予买方,仅当买方获得该授权后,授权重印图书的标题中准许使用“Oxford”(牛津)一词。

2.7 若无OPL书面同意,在授权重印图书护封的标题或他处以及任何相关宣传材料中,买方不得为其他任何产品(除买方出版的其它图书外)进行广告宣传。

3 许可

3.1 若作品中包含来自于其他出版物或原始资料的摘录、论文或插图等材料,并且,作品在致谢单或以其他任何形式指明作品获准使用或包含上述材料,则由买方负责向版权所有者申办许可,在授权重印图书中使用上述材料并向版权所有者支付任何必要的使用费用。

4 版权声明及致谢

4.1 买方承诺:作者、编辑以及插图画家(若在附列资料Ⅰ中有说明)的名字应以惯例形式,足够醒目地出现在出版的授权重印图书每一册的标题页以及封皮及护封或封面之上。

4.2 此外,买方应在标题页背面放置致谢(英文)及版权声明。

5 制作及出版

5.1 出版前,买方负责以书面形式向OPL确认每种授权重印图书的印数及出版价格。

5.2 若附列资料Ⅰ中无明确同意,本协议不包含翻印作品艺术插图、印刷版面式样或设计的权利。

5.3 若OPL提出要求,买方须在授权重印图书出版前同意在授权重印图书中列入与作品主题相关的更正、新文字和/或插图。OPL负责在任意早期阶段通知买方任何上述更正、新文字和/或插图。

5.4 买方发行或由买方再许可的授权重印图书初次印刷后,买方应为OPL免费提供6(陆)册样书。OPL应有权以正常贸易条件在样书之外另行购买授权重印图书,仅供个人使用,不得转售。

6 付款及销售账

6.1 买方应在收到OPL发出的有效发票30日内,向OPL支付预付金。

6.2 OPL保留向任何逾期未付款每月征收2%(百分之贰)的利息的权利。该利息征收不影响OPL可能采取的其他任何索回部分或全部应付款额的措施。

6.3 若买方需按法律规定扣除预扣税款,买方应确保在其支付前呈交一份免除双重征税的适当陈述。若买方所在地区与大不列颠及北爱尔兰联合王国之间无双重征税条约,买方应在每次支付时出具扣除预扣税款证明。买方无权在应支付给OPL的金额中扣除任何其他款项。

6.4 OPL或其授权代表应有权提出书面要求,检查买方关于授权重印图书的印刷销售及进款的账目记录,该检查所需费用应由OPL承担。若检查中发现上述账目记录中错误超过5%(百分之伍),此时费用应由买方支付。

7 积压未售图书/剩余库存处理

7.1 授权重印图书自首次出版之日起两年后,若买方认为授权重印图书的销售已不再盈利,买方向OPL给出书面通知,并在通知中注明向OPL出售这些图书的待商定报价,买方应可自由将剩余图书作为积压未售图书或剩余库存处理。

8 权利的收回

8.1 买方授权重印图书或买方授权重印的任何重印的版本绝版时,买方应立即通知OPL。

8.2 在授权重印图书绝版,并且买方出版或授权的任何版本仍然无法得到的情况下,OPL应可随时给与买方6(陆)个月期限的书面通知(超过此期限未经授权不得重印),令其重印授权重印的图书。上述6(陆)个月期限期满后,上述重印不得继续进行,本协议所授一切权利应立即由OPL收回,无需另行通知,而不影响买方向OPL支付或应支付的任何款额。

8.3 本协议中所指绝版意为买方库存图书少于100(壹佰)册和/或并不包括现有产品目录中授权重印的图书。

9 协议终止

9.1 如有下列情况,OPL应有权以书面形式通知买方终止本协议,协议终止即刻生效,

而不影响OPL因买方违反本协议或不履行本协议而应获得的权利或补偿:

9.1.1 在应付款到期后30(叁拾)日内,买方未能向OPL支付应付款项;或

9.1.2 买方对本协议的任何其他条款有重大违约,或在违约可以得到补救的情况下,收到OPL要求买方于至少30日内进行补救的书面通知后,仍未能进行补救或重复上述违约;或

9.1.3 下达命令或通过决议对买方进行清算或执行破产;买方财产被扣押或被没收抵债,接管者被委任管理其资产;买方与其债权人达成协议或买方与债权人自愿进行安排;或买方被解散或以其他方式停止存在;或上述解散或停止存在即将到来;或买方停止其正常营业活动;或

9.1.4 买方发生管理权变更。

9.2 因上述任何原因终止本协议后,买方被授予的一切权利应立即由OPL收回,而不影响买方因与任何第三方在协议终止日期前合法缔结合同而获得的权利,不影响OPL对其损失或其他方面索赔,不影响买方在协议终止日期前累积的债务。

10 通知

10.1 本协议下要求发出的一切通知均应为英语书写的书面形式,并应留至或以一级挂号信形式寄送至本协议开头处标明的正确地址,或相关方以符合本条规定的通知随时指定的其他地址。下列情况下,通知被视为已送达:(i)被留至收件人地址之时;或(ii)若经邮寄,寄出后48(肆拾捌)小时。所有发往OPL的通知,收件人应为集团法律主管。所有发往买方的通知,收件人应为买方代表。

11 一般条款

11.1 本协议适用英格兰法律,协议各方服从于英格兰法庭的非专属管辖权。

11.2 若无OPL事先书面同意,买方无权转让或分包本协议全部或部分内容。

11.3 本协议中的标题仅为方便之用,不应影响其理解。

11.4 本协议阐述合同标的各方间的全部协议,取代并撤销此前一切相关讨论、安排以及书面或口头协议。

11.5 未经本协议各方或其正式授权代表书面签署,本协议不应被修订、更改或增补。

11.6 各方未能或延迟履行本协议下的任何权利或补偿不应被解释为弃权;单一或部分履行上述权利或补偿不应被解释为弃权。

11.7 由于外部不可抗力而造成的未履行该协议,受损方无需对合同其他方负责。

11.8 协议中的规定不得由协议无关方强制执行

AGREEMENT

Between Ernst Klett Sprachen GmbH,Rotebühlstraße 77,D-70178 Stuttgart,Federal Republic of Germany(hereinafter referred to as Owner)

and

Foreign Language Teaching and Research Press,29 Xisanhuan Beilu,

CN-Beijing 100089,China(hereinafter referred to as Publisher)

is concluded the following agreement which shall also be valid for the legal successors of both parties concerned.

§ 1

Subject of this agreement is the intermediate level course“Mittelpunkt”consisting of two volumes:

hereinafter referred to as“work”or“original edition”.

§ 2

a.The Owner declares that he holds the sole and exclusive publishing rights of all editions and reprints of this work.

b.The Owner grants to the Publisher the right to publish a licence edition of the work in Chinese mainland,to produce the licence edition and to distribute it exclusively in Chinese mainland.The Owner is not allowed to distribute his licence edition outside of Chinese mainland.The Publisher shall inform his distributors of this restriction.

c.The Publisher is allowed to make any alterations to the text which may be necessary in order to adapt the work for Chinese mainland.

d.Other rights than those expressly mentioned in this agreement will not be granted to the Publisher.

e.Any transfer of the rights mentioned in this agreement to a third party shall be subject to the explicit consent of the Owner.

f.The first printrun of the coursebook and the workbook will be of ____ copies each per volume.The first printrun of the Audio-CDs and teacher’s book will be of ____ copies each per volume.

g.The Publisher will supply the licence edition to bookshops and distribution companies in Chinese mainland at conditions and discounts which are customary in the bookselling trade.

h.The Publisher can pulp or sell the licence edition at a loss only with the consent of the Owner.

i.The Publisher will take care to protect the copyright of the work of the Owner in Chinese mainland.He will report any infringements against the copyright to the Owner,and after consulting with the Owner,will take any legal actions upon his request.

§ 3

The Publisher’s edition of the work shall appear under the imprint of the Publisher.The Publisher shall mention the copyright on the imprint page of the licence edition as follows:

This edition is licensed for distribution and sale in Chinese mainland.The export to other Chinese-speaking countries is not allowed.

The cover and the imprint page must be approved by the Owner well in time before going to press.

§ 4

a.The Publisher shall pay to the Owner for the aforementioned rights for the individual components of the“Mittelpunkt”edition as listed in § 1

___% for 1 to 5 000 copies

___% for any copy sold thereafter

based on the Publisher’s retail price.The Publisher shall inform the Owner about the retail prices of each component of the licence edition as soon as the prices are fixed.

b.The Publisher shall pay to the Owner an advance payment in the amount of Euro___per volume,50% upon signature of this agreement and 50% upon publication of the licence edition.Royalties are to be set against the advance payment and no royalties shall be paid until the advance payment is balanced.

c.If tax is levied on royalties due to the Owner in China,the Publisher will take steps to achieve an official tax certificate stating the amount of tax which was deducted from royalties.The tax certificate has to be issued by the Chinese tax authorities,possibly in English language,and to be sent to the Owner along with the royalty payment.

d.The Publisher agrees to render annual royalty statements covering one-year sales periods from January 1 to December 31,and will send the royalty statements not later than February 15 of the following year.Royalties shall be transferred in EURO at the current exchange rate,not later than March 15,to the account of the Owner with Baden-Wuerttembergische Bank AG Stuttgart,bank code 600 501 01,Account No.787 151 5899,IBAN:DE60 6005 0101 7871 5158 99,BIC:SOLA DEST.

e.In case the Publisher fails to meet the payment deadlines,the Publisher will be charged for interest payable on arrears.The amount of interest payable on arrears depends on the legal rate of interest the Owner has to pay for borrowed money at the time of the delay.

f.The Owner may demand from the Publisher a sworn affidavit,certifying that the details given by the Publisher are correct.The cost for this affidavit shall be payable by the Publisher.

§ 5

The original edition contains copyrighted material(illustrations and texts)the copyright Owners of which are mentioned in the credits.The Publisher has to obtain the reproduction rights to the texts and a few illustrations for his licence edition separately.For this purpose the Owner will supply the Publisher an address list of the right holders.Fees arising from these rights shall be payable by the Publisher.

§ 6

The data of the work mentioned in § 1 shall be supplied to the Publisher at cost.The data do not include the fonts.The fonts can be obtained with Linotype Library Gmbh,Du-Pont-Straße 1,D-61352 Bad Homburg,Linotype@internet.de or via internet http://www.LinotpyeLibrary.com. The use of the data is restricted to the authorized product as defined in this agreement.

§ 7

a.The Publisher will publish the licence edition within 12 months after the signature of the contract.

b.The Owner shall be entitled to receive without charge 15 copies of the first printing of the licence edition and two copies of each unaltered printing thereafter.

§ 8

The Publisher has the right to produce up to 5 %(five per cent)in excess of the first edition as promotional,review and complimentary copies.The Publisher will indicate the number of copies given away free of charge in his sales reports.

§ 9

For the duration of the agreement the Publisher commits himself to having the licence edition in stock and ready for the fulfillment of orders.If the licence edition is reported out of print,the Publisher shall inform the Owner immediately.If the Publisher does not reprint within 3(three)months,all rights will automatically revert to the Owner.

§ 10

This agreement shall be valid for 5(five)years from the date of signature.After five years the Publisher and the Owner will mutually decide on a prolongation of the agreement for a period to be mutually agreed upon,and this 6(six)months before the expiry of the agreement.

§ 11

The Owner has the right to withdraw from this agreement,if

a)the Publisher fails to effect the payments within the period allowed for payment stipulated in § 4d,

b)the Publisher does not publish the licence edition within the period stipulated in § 7a,

c)the Publisher does not fulfil the other conditions stipulated in this agreement,

d)the Publisher has filed a petition in bankruptcy or settlement sub judice.

In case the Owner withdraws from the agreement,all rights stipulated in this agreement shall revert to the Owner and the payments hitherto effected by the Publisher shall be forfeited in favour of the Owner.On expiry of the agreement the Owner is entitled to grant the rights mentioned in this agreement to another Publisher in Chinese mainland.

§ 12

This agreement or any part of it can only be amended or altered by written arrangements acknowledged by both parties.

Place of fulfilment and jurisdiction for both parties is the place of business of the Owner.In addition to this agreement the stipulations of the German laws on copyright and on publishing rights shall be applicable.

签订如下协议,此协议对双方合法继承者有效。

§ 1

本协议标的是“核心”中级课程,由以下两卷构成:

下文称为“著作”或“原版(书)”。

§ 2

a.版权方宣告其独家拥有出版该著作所有版本及再版的专有权。

b.版权方准予出版方在中国大陆出版该著作授权版,以及独家生产和经销授权版本的权利。版权方不允许将其授权版本分销到中国大陆以外地区。出版方应通知经销商此限制规定。

c.如有必要,允许出版方对文本进行任何修改,对该著作进行改编以适应中国大陆读者的要求。

d.出版方将不被授予本协议明确规定之外的其他权利。

e.本协议中所提及的任何关于转让给第三方的权利须经过版权方明确同意。

f.初版印制教程及练习册的印数每卷____册。

 初版印制光碟及教师用书的印数每卷____册。

g.出版方应按照图书贸易中惯例及折扣向中国大陆书店和经销公司提供该著作的授权版本。

h.只有经版权方同意,出版方才能销毁或亏本销售该著作的授权版本。

i.出版方应保护该著作版权方在中国大陆的版权。出版方向版权方报告任何侵犯其版权的行为,在与其商讨后,按版权方要求采取任何法律手段。

§ 3

该著作出版方版本应出现于扉页的出版者名字的下方。出版商应在授权版本扉页提及以下有关版权的内容:

该版本仅授权在中国大陆销售,不容许出口到其它讲汉语的国家。

封面和扉页须在付印前及时经版权方核准。

§ 4

a.如第一条条款所列,依照之前提及的权利,出版方应对“核心”教程版本中各部分内容向版权方支付费用

___%1-5 000册(百分之)

___%5 001册以上(百分之)以出版方零售价为基准。授权版本各部分的零售价格一旦确定,出版方应尽快通知版权方。

b.出版方应以欧元为结算货币向版权方提前支付每卷______欧元的定金,协议签署时支付百分之五十,授权版本出版时再支付百分之五十。版税须根据定金设定,版税在支付完定金后再支付。

c.在中国如果版权方须交版税,出版商应设法获得一份官方税务证明,说明应缴税额已从版税扣除。此份税务证明应由中国税务机关开具,以英文书写为宜,并与版税证明一并邮寄给版权方。

d.出版方同意提供每年的版税报告,涵盖一月一日至十二月三十一日一整年的销售期,并将版税证明于次年二月十五日之前寄出。版税应根据当时汇率以欧元为结算货币,并于三月十五日之前支付到版权方巴登·符腾堡银行斯图加特股份有限公司账户,银行编号为600 501 01,账号为787 151 15899,国际银行账号为DE60 6005 0101 7871 5158 99,银行识别代码为SOLA DEST。

e.如果出版方未在期限内完成支付,将要支付延期利息。所支付的延期利息应取决于版权方延误时借款的法定利率

f.版权方可从出版方获取一份宣誓陈述书,证明出版方所提供细节的正确性。此份陈述书的费用由出版方承担。

§ 5

原版著作包含版权材料(插图和文本),其版权所有者将会在鸣谢中提及。出版方须分别获得文本和授权版本中某些插图的复制权。为此版权方应向出版方提供一份权利持有者的通讯录。这些权利所产生的费用将由出版方承担。

§ 6

在条款1中所提及的著作资料应按成本价提供给出版方。资料不包含字体。字体可从莱诺(整行)铸排机图书馆股份有限公司获取,该公司地址为巴特洪堡杜邦街1号邮区61352,字体也可通过http://www.LinotpyeLibrary.com网址获得。

此协议规定资料只限于授权产品使用。

§ 7

a.出版方应于合同签订后十二个月内出版该授权版本。

b.版权方有权免费收到授权版本首次印刷的十五册书及其后每次未改动印刷版的两册书。

§ 8

出版方有权印刷多于第一版百分之五的数量,用于促销、发表评论及赠阅。出版方应在其销售报告中指出免费发放版本的数量。

§ 9

在协议有效期间,出版方有义务保证授权版本的现货量,随时为订单做好准备。如果授权版本脱销,出版方应立即通知版权方。如果出版方未在三个月内再版,所有权利将自动转至版权方。

§ 10

此协议将于签订日起五年内有效。五年后,经出版方与版权方同意,本协议可延长,延长期限由双方商定,但商定应于本协议在到期前六个月完成。

§ 11

如发生以下情况,版权方有权撤销此协议:

a)出版方未能在第4条D款中所规定的时间内完成支付,

b)出版方未能在第7条A款中所规定时间内出版授权版本,

c)出版方未能履行协议中规定的其他条款,

d)出版方已申请破产或结算,并在待审理中。

如果版权方撤销此协议,协议中所规定的所有权利将转至版权方,同时出版方迄今支付给版权方的款项将被没收。在此协议到期时,版权方有权将协议中所提及的权利授予中国大陆其他出版方。

§ 12

此协议或其中任何一部分内容须经双方认可后方可以书面形式修订或改动。

双方履行协议和实施司法权地点为版权方营业地点。除此协议外,德国法律中适用于该著作的版权及出版等权利的条款,同样适用于本协议双方。
